Conditions of use of the SIA Developer API Portal

PLEASE READ THESE CONDITIONS OF USE CAREFULLY BEFORE USING THIS WEB SITE OR ANY OF THE MATERIALS HEREIN. This SIA Developer API Portal website (“Web Site”) is owned by Singapore Airlines Limited (“SIA”, “we”, or “us”). By using this Web Site or any of the materials herein, you indicate your agreement to be bound by these Conditions of Use. If you do not agree to any part of these Conditions of Use, please do not use this Web Site or any of the materials herein.
1. Access to API and Materials
1.1 Unless expressly specified in these Conditions of Use, you must obtain, and pay for, all telecommunications services, computer equipment, software, and technical infrastructure necessary to connect to, use and integrate the application programming interface(s) (“API”) and associated documentation or policies, data, information or test environments (the foregoing along with the API collectively the “Content”) made available by SIA to you through this Web Site. SIA does not provide such services, equipment, software, or support and you will need to obtain these from other suppliers at your own cost and risk.
1.2 In order to access and use the Content, you may be required to sign up for a developer account with SIA for access and subscription to the API (“Developer Account”). The registration of your Developer Account and/or the activation of any of your subscriptions shall be subject to our approval (at our sole discretion) and we may from time to time prescribe eligibility criteria in relation to such registration and activation and/or require you to submit information to authenticate your identity.
1.3 You shall only access or use the Content through the access credentials issued to you upon successful registration and creation of your Developer Account (“Access Credentials”). SIA reserves the right to limit access to and/or suspend your access to the Content or your Access Credentials in the event we suspect you have breached any of these Conditions of Use (including where we are alerted to and/or become aware of any of the prohibited conduct listed in Section 2, Error! Reference source not found., and/or 4 below).
1.4 You shall be fully responsible and liable at all times for all activities performed and/or your use of the Web Site and/or API where such activities and/or use are associated with your Access Credentials. You are responsible for and shall maintain up-to-date and accurate information in relation to your Developer Account (including email addresses, contact entity information, etc).
2. Licence to Content
2.1 Subject to your timely payment of any fees and charges (if applicable) and any applicable policies and restrictions prescribed by us in respect of the API from time to time, we grant you a limited, revocable, non-exclusive, non-sub-licensable, and non-transferable licence in Singapore during the term of these Conditions of Use solely to:
(a) install, test and access the API in object code, for the sole purpose of creating and modifying your software, websites, services, and/or applications (“Developer Software”) to enable interaction and communication between the Developer Software and our platform, systems and/or software (the “SIA Platform”), via the API;
(b) use, access and transmit data (including data provided by us to you through the API (the “SIA Data”)) to and through the API for the sole purpose of interaction and communication of data between the Developer Software and the SIA Platform, provided that:
(i) the data provided by you to us through the API complies with all technical requirements set forth in the applicable specifications and other documentation we may prescribe from time to time; and
(ii) prior to a transmission of such data, you have obtained all necessary third-party consents to permit such transmission (including with respect to intellectual property rights and data protection or privacy rights); and/or
(c) access and use the rest of the Content (such as documentation in relation to the API) solely to support your use of the API as above.
2.2 You shall not use or include any of SIA’s trade marks in your Developer Software or in any other material, save that if you use our Content in your Developer Software, we may require you to include a notice in your Developer Software acknowledging us as the source of your datasets in the form and manner we may prescribe from time to time. Such notice shall be subject to prior approval by us at our sole discretion. You shall not make any statement regarding your use of the Content which suggests partnership with, sponsorship by, or endorsement by us of your products and services.
2.3 For certain Content, for example where our third-party suppliers have required it, separate and/or additional usage, privacy or other terms may apply, in particular in relation to user-provided/generated content that appears within the Content. These may be marked on the relevant area of the Web Site or within the Content itself (as applicable), and it is your responsibility to ensure your compliance with these additional terms, including any updates to them that are made from time to time.
2.4 We reserve the right to charge you for use of the Content (including any API) in the future. If you do not agree to such fees you may discontinue use of the applicable Content.
3. Intellectual Property Rights
3.1 You may not reproduce, republish, upload, post, transmit, or distribute in any way any material from this Web Site (including the Content) without the prior written permission of SIA. Graphics and images on this Web Site as well as any API provided are protected by copyright and/or other intellectual property rights and may not be reproduced or appropriated in any manner without the written permission of their relevant owners. Modification of any of the materials or use of the materials for any other purpose will be a violation of SIA's copyright and other intellectual property rights and the copyright and intellectual property rights of the respective owners.
3.2 We retain ownership of all right, title and interest (including intellectual property rights) in and to the Content (including the API, the SIA Data, ancillary information and metadata related to the use of the Web Site and the Content, and any improvements, enhancements or modifications thereto made by us or any third party, but excluding the portions of the Developer Software that are independent of the Content). You retain all intellectual property rights in and to your Developer Software. You may not redistribute, sell, decompile, reverse-engineer, disassemble or otherwise deal with the Content save as expressly permitted under these Conditions of Use.
3.3 We reserve all other rights to the documentation and information pertaining to the Content and to the extent such rights are not expressly identified herein. Except for the above licence in Clause 2.1, no rights or licences, express or implied, are hereby granted to you with respect to any of our intellectual property rights or under any patents, copyrights or trade secrets as a result of our course of dealings with you hereunder.
4. Use of Web Site and Content
4.1 You agree to use this Web Site (including the Content therein) in accordance with these Conditions of Use and for lawful and proper purposes. You agree to be responsible for all matters arising from your use of this Web Site (including the Content therein). Further, you agree:
(a) not to use this Web Site and/or the Content in any manner which breaches any applicable law or regulation or causes or which may cause an infringement of any third party rights;
(b) not to post, transmit or disseminate any information on or via this Web Site and/or the Content which may be harmful, obscene, defamatory or illegal or create liability on SIA’s part;
(c) not to interfere or attempt to interfere with the operation or functionality of this Web Site and/or the Content; and
(d) not to obtain or attempt to obtain unauthorized access, via whatever means, to any of SIA’s systems (including the SIA Platform).
4.2 If SIA (in its sole discretion) believes that you are in breach, or will be in breach, of any of these Conditions of Use, SIA reserves its right to deny you access to this Web Site (including the Content) without giving you a reason and/or without further reference to you.
4.3 By using any of the API provided hereunder, you warrant, represent and undertake that at all times you shall:
(a) comply with the policies and documentation applicable to the API and use of the SIA Data (including any limits on caching, storing SIA Data obtained through the API, usage limits and refresh established by us from time to time);
(b) immediately remove or disable any Content from your Developer Software on receiving notice requesting you to do so from us, or from any of our suppliers, or any third party (including any court or law enforcement agency) and you must notify us immediately of any such third party request;
(c) be solely and entirely responsible for your Developer Software (including but not limited to any actions taken and/or any claims made by others related to your Developer Software), including but not limited to your Developer Software’s development, operation, maintenance, compliance with all applicable laws, and all materials that appear on or within your Developer Software. You shall be fully responsible for providing any customer support or technical assistance to your end users, and shall be fully liable to your end users in respect of your Developer Software;
(d) comply with all applicable data protection laws in relation to your use of the SIA Data (including but not limited to the Personal Data Protection Act (No. 26 of 2012) (“PDPA”)) and/or any other data protection or privacy obligations we may prescribe from time to time in relation to the same;
(e) ensure the Developer Software using the API and the Content shall remain with your control, comply with all applicable law and regulations, and not contain anything that infringes the intellectual property rights or any privacy, publicity, or other right of any person or be defamatory, obscene or otherwise unlawful; and
(f) use the most updated version of the API as made available from time to time.
4.4 By using the API, you warrant, represent and undertake that at all times you shall NOT, nor attempt to, and shall procure your end users shall not, nor attempt to:
(a) replicate, re-sell, or present a confusingly similar service to our Web Site or any Content or service provided through it, including the API;
(b) distribute, disclose, publish, market, sell, rent, lease, sublicense or assign to any third party your Access Credentials or any Content to which you have access under these Conditions of Use unless otherwise specifically authorised in writing by us;
(c) allow the end users of your Developer Software to conceal their identity, impersonate others, or interfere with or disrupt use of the API or the Web Site or any other site or service, and the users of your Developer Software shall not threaten or harass others, or otherwise use the API or Content in an antisocial, inappropriate, or unlawful way;
(d) use the API or the Content in any manner which might harm us and/or the SIA group’s brand, goodwill, or reputation, or otherwise bring us and/or the SIA group into disrepute;
(e) use the API or the Content to develop any Developer Software which is directly in competition with any service provided by the SIA group;
(f) make mass, automated, or systematic extractions from the Web Site or the Content, except as permitted by the API; or
(g) commit any other restricted acts that we may specify in relation to certain Content from time to time.
5. No representation
5.1 This Web Site has been compiled in good faith by SIA, but no representation is made or warranty given (either express or implied) as to the completeness or accuracy of the information it contains. You must always verify this information before you act upon it by calling your local SIA office or via any provided contact details. You shall not rely on anything herein in connection with any investment decision.
5.2 We may edit or remove any Content on the Web Site at our sole discretion at any time. We make no promises or claims related to the availability or uptime of the Web Site, Content and/or your ability to use your Access Credentials.
5.3 We may, but are not obliged to, monitor your use of the API and we reserve any other uses of, and rights in, the API and the Content on behalf of both us and our suppliers.
5.4 Notwithstanding any usage limits and refresh requirements established by us from time to time, we reserve the right to at any time without notice limit or block access to the API and the Content including where the stability and integrity of the Web Site or the SIA Platform is under threat.
6. Disclaimer
6.1 The materials in this Web Site (including the Content) are provided "as-is" and without warranties of any kind either express or implied. To the fullest extent permissible and subject and pursuant to applicable law, SIA disclaims all warranties, express or implied, including, but not limited to, implied warranties of satisfactory quality, merchantability and fitness for a particular purpose. SIA does not warrant that the functions contained in the materials will be uninterrupted or error-free, that defects will be corrected or that this Web Site or this server that makes it available is free of any virus or other harmful elements. SIA does not warrant or make any representations regarding the correctness, accuracy, reliability, or otherwise of the materials in this Web Site (including the Content) or the results of their use.
6.2 The API may not be available at all times, and SIA does not provide any service level commitments or support in respect of the same. The API may be inaccessible during regular maintenance periods and it may from time to time be subject to emergency maintenance or be unavailable for other technical reasons. SIA does not warrant that the API shall be free from errors or bugs.
7. Limitation of liability [and indemnity]
7.1 Subject to applicable law, under no circumstances, including negligence, will SIA be liable for any direct, indirect, punitive, exemplary, special or consequential damages that result from the access to, use of, or the inability to use, the materials in this Web Site, even if SIA has been advised of the possibility of such damages. SIA is also not liable nor responsible for any material provided by third parties with their own respective copyright and shall not under any circumstances, be liable for any loss, damages or injury arising from these materials. The total liability (if any) of SIA for all damages, losses, costs and expenses under whatever causes of action, whether in contract, tort or otherwise will not exceed any amount paid by you for accessing this Web Site or any Content therein.
7.2 Any SIA publication may include technical inaccuracies or typographical errors. Changes may be made to these publications from time to time and incorporated in new editions of these publications. At any time without notice, these publications are subject to improvements and changes in service by SIA.

(c) your violation of any rights, including without limitation, the intellectual property rights, of a third party; and/or
(d) any other party’s access, use, breach or violation of the items set out in the above paragraphs (a) to (c), where such party was able to access this Web Site and/or use the API and/or Content by using your Access Credentials.]
8. Modifications
8.1 SIA may change any part of this Web Site at any time at its sole discretion without notice. SIA may deny access to this Web Site to anyone at any time.
8.2 SIA may change these Conditions of Use by posting an amended version of these Conditions of Use on this Web Site at any time. It is your responsibility to check for updates to these Conditions of Use. You shall not continue to use this Web Site (including the Content) if you do not agree to such changes.
9. Suggestions, comments and feedback
9.1 If you respond to an SIA published document or through this Web Site with information including feedback data, such as questions, comments, suggestions, or the like regarding the content of any such SIA document or web site material, such information will be deemed to be non-confidential and SIA will have no obligation whatsoever with respect to such information and may reproduce, use, disclose and distribute the information to others without limitation.
9.2 Any communications you send to this Web Site or otherwise to SIA by electronic mail are on a non-confidential basis, and SIA may reproduce, publish or otherwise use them in any way for any purpose. SIA may use the content of any such communications, including any ideas, inventions, concepts, techniques or know-how disclosed herein, for any purpose, including the developing, manufacturing and/or marketing of goods and/or services. Further, SIA may use any ideas, concepts, know-how or techniques contained in such information for any purpose whatsoever including developing and marketing services incorporating such information.

Similarly, other web sites may contain links to this Web Site. SIA is not responsible for the contents of those web sites or third party materials and shall not be liable for any loss, damages or injury arising from the access to and use of contents of those web sites and/or third party materials. Any links to other web sites or access to third party materials are provided as a convenience to you as a user of this Web Site, and does not imply the endorsement of SIA of the linked web sites or third party materials or association with their operators or developers. SIA disclaims all responsibility and liability for the use of linked web sites or third party material, which you access and use at your own risk.
10.2 Any third party that wishes to establish links to this Web Site should notify SIA of their intention prior to doing so. SIA may deny permission for any such links to this Web Site. If however SIA gives its permission for any such links, SIA is not under any obligation to establish reciprocal links with the third party.
11. Confidential Information
11.1 The Access Credentials and any Content or other information disclosed by us to you regarding the API, for the purposes of these Conditions of Use, or which by its nature is confidential shall be our confidential and proprietary information (“Confidential Information”) which shall be kept strictly confidential and may not be disclosed to any third party (including, but not limited to, your affiliates) without our prior written consent save for your employees, officers or directors (but only on a need to know basis).
11.2 You shall use commercially reasonable means to maintain the confidentiality of Confidential Information in your possession or contained in your application, but in no circumstances by means that are less stringent than those required by law or that you use to safeguard your own confidential or proprietary information (whichever is more stringent).
11.3 The foregoing obligations shall not apply to: information that is or becomes publicly available through no fault of you; (ii) information that is known by you prior to the time of disclosure hereunder; (iii) information that is lawfully obtained from a third party who has the right to make such disclosure without any duty of confidentiality; or (iv) any disclosure required by applicable law, provided that you shall use reasonable efforts to give advance notice to, and cooperate with, us in connection with any efforts to prevent such disclosure.
11.4 Upon termination of these Conditions of Use, you agree to destroy all copies of Confidential Information in you and/or your contractors’ or third party agents’ possession or control, and, upon request, certify such destruction to us.
12. Termination
12.1 Unless you and we expressly agree otherwise in writing (e.g. as part of any separate developer agreement), we may terminate, suspend or restrict your access to the Web Site and/or your use of the API, Content, Access Credentials and/or related online services at any time at our sole discretion without notice and without assigning any reason therefor.
12.2 If you are in breach of these Conditions of Use, or we have reasonable grounds to believe that you are in breach, we may immediately suspend and/or terminate your access to this Web Site without prior notice and without prejudice to all our other rights and remedies (whether at law or in equity) that may arise from your breach.
13. General
13.1 These Conditions of Use shall not constitute or imply any partnership, joint venture, agency, fiduciary or other relationship between you and SIA (i.e. the “parties”, each a “party”) other than the contractual relationship expressly provided for in these Conditions of Use.
13.2 Any rights or remedies conferred by any of the provisions of these Conditions of Use upon the parties shall be in addition to and without prejudice to all other rights, powers and remedies available to the parties and no exercise or failure to exercise or delay in exercising any rights, powers or remedies available to the party shall constitute a waiver by the party of that right, power or remedy or any other rights, powers or remedies or prevent the further exercise of that or any other rights, powers or remedies.
13.3 No variation of these Conditions of Use shall be valid unless it is in writing and signed by or on behalf of each party. The expression "variation" shall include any amendment, supplement, deletion or replacement however effected. Unless expressly agreed, no variation shall constitute a general waiver of any provisions of these Conditions of Use, nor shall it affect any rights, obligations or liabilities under or pursuant to these Conditions of Use which have already accrued up to the date of variation, and the rights and obligations of the parties under or pursuant to these Conditions of Use shall remain in full force and effect, except and only to the extent that they are so varied.
13.4 Each of these Conditions of Use is severable and distinct from one another and if at any time, any one or more of these Conditions of Use or any part thereof is or becomes invalid, illegal or unenforceable, the validity, legality or enforceability of the remaining provisions will not thereby be affected or impaired in any way.
13.5 These Conditions of Use constitutes the entire agreement and understanding between the Parties relating to the subject matter of these Conditions of Use and neither party has entered into these Conditions of Use in reliance upon any representation, warranty or undertaking of the other Party which is not set out or referred to in these Conditions of Use. Nothing in these Conditions of Use shall however operate to limit or exclude liability for fraud.
13.6 A person who is not party to these Conditions of Use has no rights under the Contracts (Rights of Third Parties) Act (Chapter 53B of Singapore) to enforce any term of these Conditions of Use, but this does not affect any right or remedy of a third party which exists or is available apart from the said Act.
14. Applicable law and jurisdiction
14.1. The law applicable to these Conditions of Use of Web Site is the law of the Republic of Singapore and the courts of the Republic of Singapore will have exclusive jurisdiction in case of any dispute.
